We serve to offer internet-based transactions of corporate & tax saving bonds, securitized debt instruments and such other securities and services as permitted under the applicable laws (“Services”). Further, the Platform also enables Users to subscribe to investment products offered by SEBI registered intermediaries such as Investment Advisers and Research Analysts (“Managers”), hosted on the Platform. The investment products are a basket of debt securities (referred to as “Basket(s)”), created and managed by the Managers.

For the purpose of these User Terms (defined hereinafter), “you”, “your” or “User” or “Participant” refers to any natural or legal person (whether a registered user or otherwise) who accesses the Platform, its contents and who may use the Services offered by MODLIX on or through the Platform.
You hereby authorize MODLIX and/or its associates to disclose, share, rely, remit in any form, mode or manner, all / any of the information provided by you, including all changes, updates to such information as and when provided by you to SEBI/ any of SEBI Registered Intermediaries /or any regulated intermediaries registered with SEBI / RBI / IRDA / PFRDA to facilitate single submission / update & for other relevant purposes or any Indian or foreign governmental or statutory or judicial authorities / agencies including but not limited to the Financial Intelligence Unit-India (FIU-IND), the tax / revenue authorities in India or outside India wherever it is legally required and other investigation agencies without any obligation of informing/updating you of the same. Further, you authorize MODLIX to share the given information to other SEBI Registered Intermediaries /or any regulated intermediaries registered with SEBI / RBI / IRDA / PFRDA to facilitate single submission / update & for other relevant purposes. You also undertake to keep us informed in writing about any changes / modification to the information in future and also undertake to provide us any other additional information as may be required at our end or by domestic or overseas regulators/ tax authorities. You authorize MODLIX and /or its associates to provide relevant information to upstream payors to enable withholding to occur and pay out any sums from your account or close or suspend your account(s) without any obligation of advising of the same. The Central Board of Direct Taxes has notified Rules 114F to 114H, as part of the Income-tax Rules, 1962, which require Indian financial institutions such as the Financial Service Provider / Banks to seek additional personal, tax and beneficial owner information and certain certifications and documentation. In relevant cases, information will have to be reported to tax authorities/ appointed agencies. Towards compliance, we may also be required to provide information to any institutions such as withholding agents for the purpose of ensuring appropriate withholding from the account or any proceeds in relation thereto. Should there be any change in any information provided by you, please ensure you advise us promptly, i.e., within 30 days. Please note that you may receive more than one request for information if you have multiple relationships with MODLIX Therefore, it is important that you respond to our request, even if you believe you have already supplied any previously requested information.
Your use of our Platform and its related sites, Services and tools is governed by the terms and conditions as contained in this agreement applicable to the Platform (“User Terms”). By using the Platform, you have agreed and accepted these User Terms. If you do not agree or are not willing to be bound by the terms and conditions of these User Terms (and the rules and policies displayed on the Platform), please do not continue to access or otherwise use the Platform. As long as you comply with the provisions of these User Terms, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.
If you do not agree to these User Terms, you agree that your sole and exclusive remedy is to discontinue using the Platform. Your compliance with these User Terms is a condition to your right to access the Platform. Your breach of any provision of these User Terms will automatically, without the requirement of notice or other action, revoke and terminate your right to access the Platform.
You must be at least 18 (eighteen) years of age or older (in case you are an individual), have a sound mind and not barred by any law to contract in order to access and use the Platform. If you use the Platform or the Services on behalf of someone else including but not limited to, as a legal representative of another individual or an entity, you must be authorized by such individual or entity. Our Platform is accessible to children under the age of 18 (eighteen), however, our services are currently limited to Users above the age of 18 years & subject to our customer acceptance policy, guidelines provided by SEBI or MODLIX strongly encourages parents and guardians to supervise the online activities of their minor children and consider using parental control tools. These tools also can prevent minors from disclosing their name, address, and other personally identifiable information online without parental permission.
The Platform and the offerings therein are intended only for registered Users who have completed the registration process and completed the KYC (Know-Your-Customer) requirements set out on the Platform. A User must agree to become a member of the Platform by providing ‘Registration Data’ (as set out on the Platform) while registering on the Platform and accept these User Terms. The use of the Platform is offered to you conditioned on your ‘Acceptance’ of all the terms, conditions and notices contained in these User Terms. Upon ‘Acceptance’, these User Terms will be effective and binding upon you along with any amendments made by MODLIX at its sole discretion and posted on the Platform and you will not claim invalidity of these User Terms merely on the grounds that this MOU is being concluded electronically. For the aforesaid purposes, 'Acceptance' will mean your affirmative action in continuing the access and usage of the website or any such other actions that implies your acceptance.
Upon completion of the registration process, the User will be allocated a unique identification username (“User ID”) to become Registered User. Further, the User may be required to enter the unique one-time password (“OTP”) issued by MODLIX to the User for authentication of your User ID each time he/she/it intend(s) to use the Platform. Each User is associated with a distinct mobile number and a unique email ID. To ensure security and ownership verification, Users are required to verify their ownership of the registered email id/phone number by using an OTP. Every time a User attempts to log in, they must verify their identity by entering the OTP sent to their respective registered email address or mobile number.
In order to access the Platform Services and Your account on the Platform (“Account”), You may have to provide details including but not limited to mobile number, mother’s name, father’s name, email address, password, date of birth, gender, Permanent Account Number (PAN), signature, marital status, nominee details, cancelled cheque, photograph and video recording, etc. and other information as may be required by the Company from time to time. Your Account will be activated once MODLIX undertakes your KYC verification on the Platform in accordance with the Know Your Client (“KYC”) guidelines and/or circulars and/or communications issued by the SEBI, respective Exchanges (National Stock Exchange of India Limited and BSE Ltd.), Depositories (Central Depository Services Limited and National Securities Depository Limited) from time to time based on the information provided by you including personal information.
You hereby give your consent to MODLIX/its affiliaties to share your KYC documents with KYC Registration Agencies along with the complete set of demat and broking account information submitted by you to MODLIX You understand that once the abovementioned documents/information are uploaded onto the system of KYC Registration Agency, the same can be downloaded by any other intermediary/KYC Registration Agency with whom you are entering into a business relationship.
You will be responsible for all activities that occur under your User ID, OTP or Account (“Login Credentials”). MODLIX will not be liable to any person for any loss or damage which may arise as a result of any failure by the User to protect their Login Credentials. You shall be responsible for keeping the Login Credentials confidential and secure and shall be solely responsible for all orders entered and transactions done by any person whosoever through MODLIX’s Platform using the User’s Login Credentials whether or not such person was authorised to do so. MODLIX is not liable in any manner for any losses caused to you due to any action undertaken by you which compromises your Login credentials. You undertake to immediately notify MODLIX of any unauthorized use of your Account or any other breach of security with full details of such unauthorised use including the date of such unauthorised use, the manner in which it was unauthorisedly used, the transactions effected pursuant to such unauthorised use, etc. You undertake to not sell or otherwise transfer your Login Credentials, or allow any third party to use or access your user Account. MODLIX reserves the right to refuse service, terminate Accounts, or remove or edit content in its sole discretion.
You confirm and acknowledge that by registering on the Platform, you authorize and consent to MODLIX sending promotional and marketing content to you through emails, phone calls, short message service or other electronic, non-electronic mode of communication etc. even if you are registered under DND (Do not Disturb). No such communication shall be deemed to be in violation of law relating to unsolicited commercial communication under applicable laws, including the guidelines issued by the Telecom Regulation Authority of India (“TRAI”), and is in compliance with the relevant guidelines of TRAI or such other authority in India and abroad. You shall indemnify MODLIX & its representatives against all types of losses and damages incurred by it or its affiliates, group entities, directors, officers, employees, agents, partners and licensors due to any action taken by TRAI, access providers (as per TRAI regulations) or any other authority due to any erroneous compliant raised by you or anyone on the MODLIX and/or its affiliates, group entities, directors, officers, employees, agents, partners and licensors with respect to the intimations mentioned above or due to a wrong number or other contact details provided by you for any reason whatsoever. Please also note that all communications with MODLIX’s representatives may be recorded for internal quality and training purposes. It is your responsibility to update any changes to your email address and mobile number. MODLIX shall not be liable for any unauthorized use or access.
You agree & provide your explicit consent to fetch your credit data from Experian CIC on a monthly basis. Further, the User/Participant hereby permits MODLIX/its affiliates/associates/subsidiaries to collect all necessary information and act as its designated representative with respect to the securities purchased by him/her/ it through the Platform.
MODLIX may require you or request you to provide additional information or undertake additional registration in relation to your access to certain features or Services on the Platform. Further, MODLIX may notify you or request you to accept additional or special terms and conditions in relation to your access of certain features or Services on the Platform. You agree that you will access or use such features and Services only in accordance with such additional or special terms and conditions as if they were incorporated herein these Terms of Use.
These User Terms govern your access and use of the Platform, which includes any images, text, illustrations, designs, icons, photographs, programs, music clips, downloads, systems and methods of trading, video clips, graphics, user interfaces, visual interfaces, information, data, tools, products, written materials, services and other content (together, "Content"), including but not limited to the design, structure, selection, coordination, expression and arrangement of the Content available on or through the Platform.
MODLIX grants you a limited right to use the Platform. The User agrees not to use the Platform in any way that is fraudulent or unlawful. Your right to use the Platform is subject to your agreement to abide by these User Terms in their entirety, as well as any other rules, procedures, policies, terms or conditions that govern all or any portion of the Platform. At any time and for any reason MODLIX may revoke your right to use all or any portion of the Platform. The Platform and its Content are not intended for distribution to, or use by, any person or entity in any jurisdiction or country outside India.
You may not violate or attempt to violate the security of the Platform. Tampering with any portion of the Platform, providing untruthful or inaccurate information, misrepresenting your identity, or conducting fraudulent activities on the Platform, whether or not through the use of agents, are prohibited and constitute a breach of these User Terms. You are prohibited from violating or attempting to violate the security of the Platform.
You agree to, amongst others, not to (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform; (b) access the Platform in order to build a similar or competitive service; (c) copy, reproduce, distribute, republish, download, display, post or transmit in any form or by any means, any Content of the Platform (d) use the Platform in any way that causes, or may cause, damage to the MODLIX, the Platform, its Users or impair the availability or accessibility of the Platform in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity; (e) abuse, harass, impersonate, intimidate or threaten other Users; (f) post or transmit, or cause to be posted or transmitted, any content that is harmful, infringing, libellous, defamatory, abusive, offensive, obscene, pornographic, paedophilic, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or otherwise violates any applicable law or right of any third party; or that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nations; (g) use the Platform for any unauthorized purpose, or in violation of any applicable law or these User Terms; (h) post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain access to another User’s Account, or private information from any User; (i) infringe upon the IP Rights of MODLIX or any third party; (j) submit comments linking to affiliate programs, multi-level marketing schemes, sites repurposing existing stories or off-topic content; (k) post, email, transmit, upload, or otherwise make available any material that contains software viruses or any other computer code, trojan horse or other code with malicious, disruptive and/or destructive features, files or programs designed or functioning to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, including the Platform; (l) use any robot, spider, scraper, sniping software or other automated means to access the Platform for any purpose; (m) conduct any systematic or automated data collection activities on or in relation to the Platform (n) use the Platform or any Content any part of it to transmit or send unsolicited commercial communications, or for any other purposes related to marketing; (o) reverse engineer, frame, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software obtained from or part of the Platform; (p) disable, remove, defeat, or avoiding any security device or system, including, without limitation, any login functionality used to authenticate Users; (q) attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (r) attempt to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Platform, overloading, "flooding," "spamming," "mailbombing" or "crashing;" (s) remove any notices, warnings, labels, annotations or instructions from any portion of the Platform or any related material, including, without limitation, any patent, trademark, copyright, or other proprietary notices or license provisions; or (t) otherwise invading the privacy of, obtaining the identity of, or obtaining any personal information about any user of the Platform.
Any violations of system or network security including attempts to intentionally access a computer without authorization or exceed your authorized access level may result in civil and criminal proceedings under applicable laws. MODLIX may investigate occurrences that might involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. We may, without prior notice or warning of any kind, restrict or terminate the access of any and all users to the Platform if we reasonably conclude that such restriction or termination is necessary to prevent, or prevent the further spread, of a virus, security breach or system malfunction.
The Platform may contain certain links. Activating links on the Platform may cause individual users to leave the Platform. Such links are provided solely for individual users’ convenience and information. MODLIX has not reviewed any of the websites or mobile application linked with or connected to the Platform and using links on or to the Platform is at each individual user’s own risk.
You may download or copy Content only to the extent such download is expressly permitted in writing on the Platform. No right, title or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of or exploit in any way, in whole or in part, any of the Content, the Platform or any related software.
Nothing on the Platform will be interpreted as granting any license or right to use any image, trademark, trade dress, logo or service mark on the Platform. MODLIX reserves all rights with respect to copyright and trademark ownership of all material on the Platform, and will enforce such rights to the full extent of the law.
Unless otherwise noted, all Contents are copyrights, trademarks, trade dress and/or other intellectual property owned, controlled or licensed by MODLIX or by third parties who have licensed their materials to MODLIX and are protected by Indian and international copyright laws. The compilation of all Contents on the Platform is the exclusive property of MODLIX and is also protected by Indian and international copyright laws.
The Platform, including all Information, is owned by or licensed to MODLIX and is subject to and protected by various intellectual property rights, including but not limited to copyright, trade secrets, trademarks, service marks, brand names and other proprietary rights whether under contract, statute or any similar provisions (together, the “IP Rights”). All IP Rights are and will remain the exclusive property of MODLIX, its respective third-party licensors or third parties to whom it is attributed and in using the Platform individual users will not obtain any rights, title or other interest in or to any information on the Platform or related IP Rights. Subject to the above, individual users are entitled to view the Information on the Platform and to copy and print such information for personal use. Individual users are not permitted to sell or distribute or otherwise deal with the Information on the Platform or any deviations of such information without the prior written consent of MODLIX.

You acknowledge that all financial transactions conducted by you using the Platform are conducted through a third-party payment gateway (“Payment Gateway”) and your bank or financial service provider (“Bank”), and you acknowledge that MODLIX shall not be held responsible for any irregularity or failure in the completion of the such transactions which are attributable to the Payment Gateway or the Bank.
You agree and undertake that the bank account/s and DP account/s provided by you shall be used for the purpose of making pay-ins and receiving pay-outs for settlement of securities/ corporate debt instruments deals through clearing and settlement of trades.
Your mere browsing of our Platform, perusal of Third Party Products listed or showing interest to invest in Third Party Products listed on Platform does not create any contractual right/obligation whatsoever. Further, any investment by you in any Third Party Products is directly received by the relevant investee entity and / or the third party, and accordingly such investee entity and or the third party, as the case may be, is solely responsible for any refund, return of investment, or any other payment of a similar nature to be received by you. Just like MODLIX does not collect payment from you for any Third-Party Products, MODLIX has no role to play in any subsequent refund or cancellation.
Note: In cases where the payment amount has been debited from the user's account but the settlement process fails, a refund will be issued directly to the original source account.
Basket: Specific terms, undertakings and disclosures
Basket is a basket of debt securities that are curated to track a particular objective or a strategy and are created by SEBI-registered entities like Investment Advisors & Research Analysts.
MODLIX provides technology solutions and related back-end infrastructure for facilitating investments and transactions in a Basket. For disclosures by the entities creating the Basket, please refer to the website memo of the relevant Basket.
We urge the Users, before availing any of the Basket services, to also read the terms and conditions and privacy policy of such Managers and/or third parties also (as applicable). MODLIX shall not be liable for any Service that is availed by the User from such Managers or third party (if applicable).
For enabling the Services, MODLIX has partnered with entities including but not limited to investment advisors, research analysts that are registered with the Securities and Exchange Board of India (“SEBI”).
MODLIX shall not be liable or responsible for any actual or threatened losses, damages, expenses, disputes or otherwise any claims made in respect of the use or misuse of the Basket services by the Users, and MODLIX shall be entitled to cancel or refuse to offer the services to you without any notice or obligation to provide reasons.
The availability of the Platform and the Services will be subject to any fixes or updates that the Company or the Associate Companies may find necessary to make, and you acknowledge that MODLIX shall not be liable in any manner whatsoever towards any damages, losses or other claims which may be threatened or incurred as a result.
Additional User Undertakings for Basket:
The Users agree that the records maintained by MODLIX in respect of the transactions effected using Basket services shall be sufficient proof of such transactions.
MODLIX shall not be held responsible for any content, information, reports, images, data, text, logos, photographs, videos, audio clips, animations, written posts, articles, comments, software, scripts, graphics, themes, maps code, language and interactive features generated, which has been provided on the Platform by the Managers.
The User should not use the service for any illegal purposes or for the violation of any law or statutory regulation, including, but not restricted to indulging in; (i) any unfair, manipulative or fraudulent practices, in terms of the SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003; or (ii) any insider trading and/or communication of unpublished price sensitive information in terms of the SEBI (Prohibition of Insider Trading) Regulations, 2015
Disclosure with respect to Basket:
Unless otherwise stated, the percentage returns displayed on the Platform for calculating a Basket’s performance are absolute returns.
The content and data available on the Platform, including but not limited to Basket’s return numbers and Basket’s rationale are for information and illustration purposes only. No content on our website or application, including any posts, pictures or any percentage returns should be considered an advertisement, endorsement, solicitation, financial advice, or offer to sell any products or services of the Company or of any other third parties.
Basket’s are not licensed to any exchange, trading or settling venue outside India.

Severability: If any clause of these User Terms is deemed invalid, void or for any reason unenforceable, such clause will be severable and will not affect the validity and enforceability of the remaining clauses of these User Terms.
Entire Agreement: These User Terms set forth the entire understanding and agreement between you and MODLIX with respect to the subject matter hereof. The Privacy Policy shall be read and understood as a part of this Agreement.
Assignment: You cannot assign or otherwise transfer your rights or obligations under these User Terms to any third party. MODLIX may transfer its rights and obligations (also known as "Assign") under these User Terms without your prior express consent, provided that MODLIX will assign these User Terms on the same terms or terms that are no less advantageous to you.
Arbitration: If any dispute arises between you and MODLIX during your use of the Platform or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of these User Terms, or the documents they incorporate by reference, the dispute will be referred to a sole Arbitrator who will be an independent and neutral third party identified by MODLIX. The place of arbitration will be Bangalore. The arbitration proceedings will be in the English language and will be governed by Arbitration & Conciliation Act, 1996.
Governing Law: These User Terms or the documents they incorporate by reference will be governed and construed in accordance with the laws of India. Subject to clause of Arbitration above, all disputes arising under these User Terms between you and MODLIX will be subject to the exclusive jurisdiction of courts at Bangalore, India.
